Implementation of the Companies Act 2006


The Companies Act 2006 provisions have now been fully implemented and some of the changes that came in on 1 October 2009 are:


1 A company can now be set up with just 1 person as sole director and shareholder.
2 The Memorandum of Association requirements are greatly reduced .
3 There are new model Articles of Association available..
4 There is no requirement now for Authorised Share Capital;
5 The only address that needs to be on public record is the Directors service address although the directors home addresses still need to be notified to Companies House
6 The forms that need filing at Companies House have all changed,including a more extensive Annual Return.


We suggest that the two items that may need acting on by existing companies are:


1 To consider changing the Companies Memorandum and Articles of Association to the new more modern model Articles
2 To register a service address(typically the Registered Office address) if directors would prefer to not have their home address on public record.
